    ABOUT

    Alan J. Wilson is Counsel in WilmerHale’s Transactional Department who routinely counsels public company clients on a variety of matters concerning corporate governance and compliance with federal securities laws, particularly with regards to the intersection between law and accounting.  He also advises public and private companies from a range of industries on ESG disclosure and stakeholder engagement, capital markets transactions, mergers and acquisitions, joint ventures and activist shareholder engagement.

    Mr. Wilson’s securities counseling practice includes advising on periodic Exchange Act reporting requirements, Section 16 reporting, Rule 144 and compliance with stock exchange listing standards. Additionally, he routinely assists clients with responding to shareholder proposals and formal and informal investor communications.

    Mr. Wilson’s professional activities are deeply connected to the legal aspects of accounting and auditing. He is the Chair of the ABA Business Law Section’s Law and Accounting Committee and former Vice Chair of the former Audit Responses Committee. He also serves as the executive editor for securities law for Business Law Today. Additionally, he is a Massachusetts CPA and is a member of the Massachusetts Society of CPAs and the American Academy of Attorney-CPAs. Previously, Mr. Wilson worked as an audit/state and local tax intern with KPMG in Pittsburgh, Pennsylvania.
