Dina Ross

    ABOUT

    Ms. Ross’ practice is focused on advising and assisting clients in meeting their information technology legal needs, and on Internet,
    e-commerce, and general commercial transactions in a variety of industries, including health care and telecommunications.

    With respect to all industries, her experience includes: 

    • negotiating and drafting technology agreements, including SaaS, PaaS, AI, and cloud computing service agreements

    • data, privacy and security agreements and state, federal and international compliance

    • advising clients with respect to the acquisition, development, licensing, marketing, distribution and support of technology

    • strategic sourcing and outsourcing for technology needs

    • policies relating to the use and security of technology, including software audits

    • consulting, employment and strategic alliance agreements

    • due diligence and technology transfers

    • website related agreements and the formation, financing, and governance of business entities

    • counseling clients on intellectual property and the business implications of technology deals

    • general commercial agreements including leasing, maintenance, vendor, customer and supply chain agreements

    In the health care field specifically, Ms. Ross is experienced in drafting and negotiating software license and services agreements for EHRs, revenue cycle, claims management, and all other functionalities from all major health information technology vendors. She is also experienced in related regulatory matters such as HIPAA and BAAs.

    Her health care practice includes handling the information technology legal issues during mergers, acquisitions, divestitures and other corporate restructurings with a particular emphasis in helping clients negotiate transition services agreements.

    Ms. Ross is also experienced in drafting and negotiating agreements and policies that comply with various privacy and security laws, including the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach Bliley Act, FTC “Red Flag Rules,” the EU General Data Protection Regulation, and other state and federal laws, rules and regulations.

    A Leader in the Profession
    Ms. Ross is the co-chair of the Health IT Task Force of the American Bar Association’s Cyberspace Law Committee. She is also a member of the American Health Lawyers Association Health Information Technology Practice Group where she is a past co-chair of the AHLA’s Tech Licensing and IP Affinity Group. She is also a frequent speaker on topics of interest to the technology community and is an adjunct faculty member of Loyola University of Chicago School of Law and the University’s Beazley Institute for Health Law and Policy. She is a former member of the board of the Greater Chicagoland Health Information Management System Society and of the board of the University of Chicago Women’s Business Group. She is a current member of the American Bar Association, the American Bar Association Section on Science and Technology, American Health Lawyers Association and the Chicago Bar Association.

    Ms. Ross began her legal career in the Chicago office of Skadden, Arps, Slate, Meagher & Flom, was a partner in the Health Law Department of the Chicago office of McDermott, Will & Emery, and was a partner and the head of the Technology Law Group of Schwartz Cooper Greenberger Kraus prior to starting her own practice over a decade ago.  Before practicing law, Ms. Ross worked as a financial and strategic analyst in the entertainment industry and for a Fortune 100 company.
