Mr. Hwang is a specialist in cross-border mergers and acquisitions, private equity, and financial markets regulation. Mr. Hwang has represented major corporations, listed companies, pension funds and private equity firms on transactions including mergers and acquisitions, public takeovers, private equity and venture capital, corporate finance transactions and joint ventures.
Mr. Hwang is recognized by clients for his business insight and the quality of his advice, his familiarity with regulations and business practices in China and Hong Kong, and his ability to reliably and successfully execute transactions. He has led several award-winning transactions in Greater China and Asia, including the restructuring by a consortium of private equity funds of Delphi Automotive’s holdings and assets in 12 different jurisdictions; the sale of Delphi’s steering business to General Motors in Australia, India, Japan, and Korea; and the maintenance and perfection of the lenders’ security interests throughout the transaction (Asian-Counsel Magazine 2009 Deal of the Year).
Mr. Hwang advises regularly on the listing rules of the Hong Kong Stock Exchange, the takeovers code and the Securities and Futures Ordinance in connection with public takeovers, market misconduct, continuing obligations and regulatory compliance issues. Mr. Hwang also frequently represents Chinese clients on outbound investments and international clients on mergers and acquisitions. Some of Mr. Hwang’s recent transactions include representing one of the world’s largest luxury groups in its acquisition of a Chinese fine-jewelry maker; advising a Chinese state-owned energy corporation on the structuring of multiple cross-border deals; and advising a $130 billion pension fund in its establishment in Hong Kong and SFC licensing, regulatory and compliance matters.
