Business Law 101 — What You Should Know about Uniform Laws
In a new video series answering common business law questions for those new to the field, Professors Kristen David Adams, Juliet Moringiello, and Candace Zierdt demystify the workings of the Uniform Law Commission (ULC). Business laws such as the Uniform Commercial Code are among the most successful Uniform Law projects; as Uniform Law Commissioners for Pennsylvania and North Dakota, respectively, Moringiello and Zierdt have been directly involved in that work. The panel discusses who decides when the ULC takes on a new uniform law project, the drafting and amendment processes, and the complexities of enacting a new uniform law in each state. Their engaging conversation highlights key details to understand as well as opportunities to get involved.

Professor Kristen David Adams (Stetson University College of Law) teaches and writes in Property and Domestic and International Commercial Law. Prior to her teaching career, Professor Adams practiced law for five years in Atlanta, GA. She is the author or co-author of seven books and has also written more than twenty law review articles. Her three most recent books, CISG Basics: A Guide to International Sales Law (with Candace Zierdt), The ABCs of the UCC: Related and Supplementary Consumer Law, Third Edition (with Candace Zierdt), and Law and Poetry: Promises from the Preamble, were published by the American Bar Association. Professor Adams is the American Bar Association Business Law Section’s Liaison to the Permanent Editorial Board for the Uniform Commercial Code.
Professor Juliet Moringiello is the Associate Dean for Academic Affairs at Widener University Commonwealth Law School in Harrisburg, PA, where she teaches Property, Bankruptcy, Secured Transactions, Sales, and a seminar on Business Law and Emerging Technologies. She earned her B.S.F.S. at Georgetown University, her J.D. at Fordham University School of Law, and her LL.M in Legal Education at Temple University School of Law. Professor Moringiello is a former Chair of the Pennsylvania Bar Association Business Law Section, a Uniform Law Commissioner for Pennsylvania, and a member of the American Law Institute. She is also a member of the American College of Commercial Finance Lawyers and has held several leadership positions in the American Bar Association Business Law Section. Professor Moringiello is a member of the Permanent Editorial Board for the Uniform Commercial Code.
Professor Candace Zierdt (Stetson University College of Law) teaches and writes in the areas of Contracts and Commercial Law. Prior to beginning her teaching career, she practiced law in Missouri for 12 years. Professor Zierdt has been a North Dakota Commissioner on the National Conference of Commissioners on Uniform State Laws since 2001, and a member of the NCCUSL Committee on Liaison with American Indian Tribes and Nations since 2002. She is a NCCUSL member of the joint editorial board for Tribal Code Development, and member of the task force on Implementation of The Model Tribal Secured Transactions Act. She also is an elected member of the America Law Institute.
